These Terms & Conditions (“Terms”) constitute a legally binding agreement between you and LynkPay Technologies Inc. (“LynkPay,” “we,” “us,” or “our”) governing your access to and use of the LynkPay platform, websites, software, APIs, checkout experiences, creator pages, hosted payment pages, integrations, applications, and related services (collectively, the “Services”).
By creating an account, accessing, or using the Services as a Creator, Customer, visitor, or other user, you agree to be bound by these Terms.
If you do not agree to these Terms, you may not access or use the Services.
1. About LynkPay
LynkPay provides software and technology services that enable creators, businesses, freelancers, and organizations to create online pages, showcase products and services, collect payments, manage digital commerce, and integrate with third-party payment processing providers.
LynkPay is a technology platform and is not:
- a bank,
- a money transmitter,
- a financial institution,
- a payment network,
- a payment processor,
- an escrow service, or
- a merchant of record,
unless expressly stated otherwise in writing.
All payment transactions are processed by independent third-party Payment Partners.
2. Definitions
- “Creator” means any user, business, merchant, organization, or individual using the Services to publish content, offer products or services, receive payments, manage bookings, or otherwise conduct commercial activities.
- “Customer” means any person purchasing, subscribing to, donating to, or otherwise interacting commercially with a Creator through the Services.
- “Content” means any text, images, videos, graphics, files, listings, descriptions, trademarks, links, metadata, code, or other materials uploaded, submitted, displayed, or distributed through the Services.
- “Payment Partner” means any third-party financial institution, acquiring bank, payment processor, payout provider, gateway, or payment technology provider integrated with the Services.
- “Services” means all LynkPay software, websites, applications, APIs, features, checkout systems, hosted pages, and related technology offerings.
3. Eligibility
To use the Services, you must:
- be at least 18 years old or the age of legal majority in your jurisdiction;
- have legal capacity to enter into binding agreements;
- provide accurate and complete registration information; and
- comply with all applicable laws and regulations.
You may not use the Services if:
- you are prohibited from doing so under applicable law;
- you are located in or ordinarily resident in a sanctioned or embargoed jurisdiction; or
- you appear on any government sanctions, denied-party, terrorism, or prohibited persons list.
LynkPay reserves the right to refuse access to any person or entity at its sole discretion.
4. Account Registration and Security
You are responsible for:
- maintaining the confidentiality of your login credentials;
- all activity occurring under your account;
- ensuring account information remains accurate and updated; and
- immediately notifying LynkPay of unauthorized access or security incidents.
LynkPay may suspend, restrict, or terminate accounts suspected of fraud, unauthorized activity, abuse, or security risks.
5. Compliance, Identity Verification, and Monitoring
LynkPay and its Payment Partners may conduct identity verification, fraud prevention reviews, anti-money laundering (AML) screening, sanctions checks, know-your-customer (KYC) verification, transaction monitoring, and risk assessments at any time.
You agree to provide any requested information or documentation, including:
- government-issued identification,
- business registration documents,
- tax information,
- proof of address,
- banking information,
- ownership information,
- operational records, and
- supporting transaction documentation.
Failure to provide requested information may result in:
- delayed payouts,
- frozen funds,
- account restrictions,
- transaction holds,
- termination of Services, or
- reporting to regulatory or law enforcement authorities where required by law.
LynkPay reserves the right to monitor activity for fraud, suspicious transactions, money laundering, sanctions violations, abuse, and platform integrity purposes.
6. Creator Responsibilities
Creators are solely responsible for:
- the products, services, subscriptions, donations, digital goods, bookings, or offerings they provide;
- ensuring all descriptions, pricing, advertisements, and representations are accurate;
- delivering purchased products and services;
- customer service and support;
- managing cancellations, refunds, and disputes;
- compliance with applicable consumer protection laws;
- obtaining all necessary licenses, permits, rights, and authorizations;
- ensuring all Content complies with applicable laws; and
- payment of all taxes, duties, and government fees associated with their activities.
LynkPay does not guarantee Creator performance, fulfillment quality, legality, or reliability.
7. Restricted Businesses and Prohibited Activities
You may not use the Services for unlawful, harmful, deceptive, or prohibited activities.
Prohibited activities include, but are not limited to:
- fraud, phishing, scams, or deceptive practices;
- money laundering or sanctions violations;
- sale of counterfeit goods;
- unauthorized financial services;
- unlicensed gambling or gaming;
- pyramid schemes or investment fraud;
- adult sexual content or exploitative material;
- illegal drugs or controlled substances;
- weapons or ammunition sales;
- malware distribution or hacking activities;
- intellectual property infringement;
- harassment, abuse, threats, or exploitation;
- terrorism-related activity;
- high-risk products prohibited by Payment Partners; and
- any activity violating applicable laws or regulations.
LynkPay may remove Content, freeze funds, delay payouts, restrict transactions, suspend accounts, terminate Services, or report activity to authorities where necessary.
8. Payment Processing
All payment transactions are processed by independent third-party Payment Partners.
By using the Services, you authorize LynkPay and its Payment Partners to:
- process transactions,
- perform identity verification,
- conduct fraud screening,
- collect transaction-related information,
- process payouts,
- place holds or reserves,
- reverse transactions where necessary, and
- comply with legal or regulatory obligations.
Your use of payment functionality may also be subject to separate agreements with Payment Partners.
LynkPay does not control and is not responsible for:
- Payment Partner decisions,
- payment approvals or declines,
- banking delays,
- chargebacks,
- payment network outages, or
- financial institution actions.
9. Fees
LynkPay may charge:
- subscription fees,
- transaction fees,
- processing fees,
- platform fees,
- payout fees,
- currency conversion fees, or
- other disclosed charges.
Applicable fees will be displayed on pricing pages, dashboards, onboarding materials, or checkout flows.
Fees are non-refundable unless required by law.
LynkPay may modify pricing at any time with reasonable notice.
10. Payouts, Holds, and Reserves
Payout schedules are estimates only and may vary depending on Payment Partner rules, banking systems, compliance reviews, fraud monitoring, or operational requirements.
LynkPay and its Payment Partners may:
- delay payouts,
- freeze funds,
- establish rolling reserves,
- impose holdbacks,
- retain reserve balances, or
- temporarily restrict account access
where reasonably necessary to:
- manage fraud or chargeback risk,
- investigate suspicious activity,
- comply with legal obligations,
- satisfy Payment Partner requirements, or
- protect users, LynkPay, or third parties.
You acknowledge that reserve requirements may continue after account termination where necessary.
11. Chargebacks, Disputes, and Reversals
Creators are solely responsible for all chargebacks, reversals, payment disputes, fines, penalties, and associated costs arising from their transactions.
If a transaction is disputed, LynkPay or its Payment Partners may:
- deduct disputed amounts from your balance,
- recover funds from future payouts,
- charge dispute handling fees, or
- require additional documentation.
Creators agree to cooperate fully and provide timely documentation during dispute investigations.
12. Refunds and Cancellations
Creators are responsible for establishing and communicating their own refund and cancellation policies.
Creators must comply with:
- applicable consumer protection laws,
- card network rules,
- Payment Partner requirements, and
- mandatory refund obligations.
LynkPay may issue refunds, reversals, or transaction adjustments where required by law, Payment Partner policy, risk management requirements, or dispute resolutions.
13. Digital Products, Services, and Bookings
Creators are solely responsible for:
- fulfillment and delivery of digital products,
- maintaining file accessibility,
- managing bookings and schedules,
- providing access credentials or event details,
- rescheduling or cancellations, and
- ensuring promised services are delivered.
LynkPay provides technology infrastructure only and does not supervise Creator operations.
14. Taxes
Creators are solely responsible for determining, collecting, reporting, and remitting all applicable taxes, duties, levies, VAT, GST, sales taxes, withholding taxes, and governmental charges related to their activities.
LynkPay does not provide tax advice.
15. Content and Intellectual Property
Creators retain ownership of their Content.
By uploading or publishing Content through the Services, you grant LynkPay a worldwide, non-exclusive, royalty-free license to:
- host,
- reproduce,
- display,
- distribute,
- process,
- modify for technical purposes, and
- use such Content
solely for operating, improving, securing, promoting, and providing the Services.
You represent and warrant that:
- you own or have all necessary rights to the Content;
- the Content does not infringe third-party rights; and
- the Content complies with applicable laws.
LynkPay and its licensors retain all rights to the Services, software, branding, trademarks, and platform technology.
16. Privacy and Data Protection
Your use of the Services is also governed by the LynkPay Privacy Policy.
Creators are responsible for obtaining all legally required disclosures, notices, and consents related to customer data collection, tracking technologies, analytics tools, and marketing activities.
17. Third-Party Services and Integrations
The Services may integrate with third-party products, websites, APIs, payment systems, analytics tools, or software.
LynkPay is not responsible for third-party services, including:
- availability,
- security,
- accuracy,
- legality,
- functionality, or
- data practices.
Your use of third-party services is governed by their respective terms and policies.
18. Service Availability
The Services are provided on an “as is” and “as available” basis.
LynkPay does not guarantee:
- uninterrupted access,
- continuous availability,
- error-free operation,
- transaction completion,
- data preservation, or
- specific commercial outcomes.
LynkPay may perform maintenance, upgrades, security actions, emergency interventions, or infrastructure changes that temporarily affect availability.
19. Suspension and Termination
LynkPay may suspend, restrict, or terminate access to the Services immediately and without prior notice where:
- these Terms are violated;
- suspicious or unlawful activity is detected;
- required by Payment Partners;
- required by law or regulators;
- risk exposure becomes unacceptable; or
- continued access could harm LynkPay, users, or third parties.
Upon termination:
- access to Services may cease immediately;
- pending investigations may continue;
- reserves or held balances may remain restricted; and
- obligations accrued prior to termination survive.
20. Disclaimers
To the maximum extent permitted by law, LynkPay disclaims all warranties, express or implied, including: merchantability, fitness for a particular purpose, non-infringement, availability, security, and reliability.
LynkPay does not guarantee any specific revenue, sales volume, audience growth, or commercial performance.
21. Limitation of Liability
To the fullest extent permitted by law, LynkPay and its affiliates, officers, employees, contractors, licensors, and partners shall not be liable for: indirect damages, incidental damages, consequential damages, punitive damages, loss of profits, loss of revenue, loss of data, business interruption, reputational harm, or loss of goodwill.
LynkPay's aggregate liability arising from the Services shall not exceed the total fees paid by you to LynkPay during the six (6) months preceding the event giving rise to the claim.
22. Indemnification
You agree to defend, indemnify, and hold harmless LynkPay, its affiliates, employees, officers, directors, contractors, licensors, and partners from any claims, liabilities, damages, losses, penalties, costs, or expenses arising out of:
- your Content,
- your products or services,
- your use of the Services,
- your violation of these Terms,
- your violation of law, or
- third-party disputes related to your activities.
23. Governing Law and Dispute Resolution
These Terms shall be governed by and construed under the laws of the applicable jurisdiction in which LynkPay operates or is incorporated, without regard to conflict of law principles.
Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the courts of the applicable jurisdiction unless otherwise required by law.
Where permitted by law, parties agree to attempt good-faith informal resolution prior to initiating formal legal proceedings.
24. Modifications to the Services or Terms
LynkPay may modify, update, discontinue, or replace any aspect of the Services or these Terms at any time.
Updated Terms become effective upon posting unless otherwise required by law.
Continued use of the Services after updates constitutes acceptance of the revised Terms.
25. Force Majeure
LynkPay shall not be liable for delays, failures, or interruptions resulting from causes beyond its reasonable control, including:
- natural disasters,
- internet failures,
- cyberattacks,
- labor disputes,
- government actions,
- sanctions,
- infrastructure failures,
- banking outages, or
- failures of third-party providers.
26. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
27. Entire Agreement
These Terms, together with any applicable policies, pricing pages, Payment Partner agreements, and incorporated legal documents, constitute the entire agreement between you and LynkPay regarding the Services.
